1. About these terms
These Terms & Conditions apply to your use of moderninnovationsav.com and provide general terms for services offered by Modern Innovations AV, a residential and commercial audio, video, smart home, lighting, security, and low-voltage integrator based in Gilbert, Arizona. Our services may include residential smart home automation, audio and video, lighting control, and motorized shades, as well as commercial audio and video, lighting, access control, and security. We install products from brands such as Savant, Control4, Lutron, Sony, Samsung, Sonos, and others.
2. Website use
You may use this website for lawful, personal, or legitimate business purposes. You may not misuse the website, interfere with its operation, attempt unauthorized access, submit false or harmful information, or use its content in violation of law. Website content is general information and may change without notice. Product names, logos, and trademarks belong to their respective owners and do not imply endorsement.
3. Quotes, estimates, and controlling agreement
Quote or contact forms and website communications do not create a contract or require us to perform work. Quotes and estimates are generally valid for 30 days unless they state a different period. The final scope, products, price, schedule, payment terms, and other project requirements are stated in the signed written proposal, work order, or contract (the "Proposal"). If these website terms conflict with a signed Proposal, the Proposal controls for that project.
4. Deposits, payment, and late payment
Deposits, progress payments, final payment, taxes, shipping, and other charges are due as stated in the Proposal. If the Proposal does not state otherwise, payment is due upon invoice. Amounts not paid when due may be subject to reasonable late charges, collection costs, and suspension of work to the extent permitted by law. We may withhold delivery, programming, activation, or completion until required payments are received.
5. Change orders
Changes to scope, products, finishes, locations, wiring, programming, or schedule must be approved in a written change order or other written authorization. A change may affect price and completion time. We are not responsible for extra work performed at a customers request when the customer has approved it in writing or clearly authorized it through an agreed project communication method.
6. Scheduling, site access, and customer responsibilities
We will use reasonable efforts to meet the schedule in the Proposal, but delivery dates and completion times may change because of product availability, shipping, permitting, site conditions, weather, labor, or events outside our reasonable control. You must provide timely access to the site and the areas where work will occur, and identify hazards or restrictions.
You are responsible for providing, unless the Proposal states otherwise, adequate electrical power, functioning internet service and network access, pre-wire access, working utilities, accurate measurements and project information, approvals from owners or property managers, and a reasonably safe and clean work area. You must protect valuables and disclose hazardous materials, concealed conditions, structural limitations, or other conditions that could affect the work. We may pause or reschedule work when a site is unsafe or required access or information is unavailable.
7. Customer-supplied equipment
Equipment supplied by you is installed or integrated at your request and is not warranted by Modern Innovations AV. We are not responsible for defects, incompatibility, missing parts, prior damage, configuration problems, or failures in customer-supplied equipment. Any manufacturer warranty for supplied equipment remains with its manufacturer.
8. Manufacturer warranties and service
Manufacturer warranties for equipment, software, and accessories pass through to you to the extent offered by the manufacturer. We may help you pursue warranty service, but the manufacturers warranty terms, exclusions, and procedures control. Products, software, firmware, applications, cloud platforms, and features may be discontinued, changed, or limited by their manufacturers or providers.
9. Workmanship warranty
Unless the Proposal states otherwise, Modern Innovations AV provides a workmanship warranty for one (1) year from completion of the applicable work. This warranty covers defects in our installation workmanship. It does not cover misuse, abuse, neglect, accidental damage, power surges, electrical or network problems outside our work, third-party changes, unauthorized repairs, software, firmware, app, or cloud-service changes, ISP outages, equipment defects covered by a manufacturer, normal wear, or acts of nature. To request warranty service, contact us promptly and allow reasonable access to inspect and correct covered workmanship.
10. Ownership and title
Unless the Proposal states otherwise, title to equipment and materials supplied by us passes to you only after full payment of all amounts due for the applicable project. Until then, we may retain ownership and may suspend access to or delivery of unpaid equipment to the extent permitted by law.
11. Remote access, monitoring, and credentials
You authorize remote access or monitoring only as stated in the Proposal or separately approved by you. You must provide accurate credentials and maintain accounts, subscriptions, internet service, and permissions required for the system. We will use credentials reasonably necessary for the contracted work and may ask you to change them after service. We are not responsible for loss of access caused by changed credentials, revoked permissions, network changes, ISP outages, or third-party services.
12. Third-party services and subscriptions
Streaming services, cloud services, app platforms, internet service, alarm or monitoring services, cellular services, software licenses, and other third-party services or subscriptions are governed by their own terms, privacy policies, fees, and availability. Unless expressly included in the Proposal, you are responsible for obtaining and paying for those services and maintaining compatible accounts. We do not guarantee their uninterrupted operation or availability.
13. Security, cameras, and audio recording
Security, access control, camera, and related systems are tools that may help observe or manage a property; they do not guarantee prevention of theft, damage, unauthorized access, injury, or other loss. We are not a monitoring service unless monitoring is expressly contracted in the Proposal. You are responsible for lawful camera, microphone, and audio-recording placement, notices, consent, privacy compliance, and use of the system. You should obtain legal advice about recording and surveillance requirements applicable to your property and situation.
14. Permits and approvals
Permits, inspections, approvals, and code requirements will be handled as stated in the Proposal. Where required, we will obtain or coordinate permits only if that responsibility is included in the Proposal. You are responsible for owner, landlord, association, utility, and other approvals not expressly assigned to us.
15. Disclaimer
To the fullest extent permitted by law, the website and its content are provided on an "as is" and "as available" basis. We do not guarantee that the website, information, products, systems, integrations, remote access, cloud features, or third-party services will be uninterrupted, error-free, secure, or suitable for every purpose. Except for express warranties stated in a signed Proposal or the workmanship warranty above, we disclaim implied warranties to the extent permitted by law.
16. Limitation of liability
To the fullest extent permitted by law, Modern Innovations AV will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, use, or business, arising from the website, services, equipment, system failure, interruption, or third-party services. Our total liability for a project will not exceed the amount you paid us for the specific services giving rise to the claim, except to the extent a limitation is prohibited by law. Nothing in these terms limits liability that cannot lawfully be limited.
17. Indemnity
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Modern Innovations AV and its owners, employees, and contractors from claims, losses, damages, liabilities, costs, and expenses arising from your unlawful use of a system, violation of these terms, inaccurate information, unsafe site condition, or unlawful camera, microphone, or recording activity, except to the extent caused by our own negligent or wrongful conduct.
18. Cancellation and return of special-order equipment
You may cancel a project subject to the Proposal and applicable law. If you cancel, you are responsible for labor performed, approved expenses, nonreturnable materials, and reasonable restocking or cancellation fees for special-order, custom, or already-shipped equipment, as well as other amounts stated in the Proposal. Refunds, if any, will be handled under the Proposal after deducting amounts properly due.
19. Arizona Registrar of Contractors
Modern Innovations AV is a licensed Arizona contractor, Arizona ROC license #366586. Complaints may be filed with the Arizona Registrar of Contractors at roc.az.gov. License information does not replace the terms of a signed Proposal or any rights and remedies provided by law.
20. Governing law and venue
These terms and any dispute relating to the website or services are governed by Arizona law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, exclusive venue for a court proceeding is in Maricopa County, Arizona.
21. Changes to these terms
We may update these website terms from time to time. The effective date at the top shows when they were last changed. Updated terms apply to website use after posting. A signed Proposal controls the project-specific terms for work already agreed to, unless the Proposal expressly incorporates a later change.
